Terms and Conditions of Trade

These Terms and Conditions of Trade govern all quotations, orders, and contracts for the supply of precision machined components and related services by Lorro Precision Ltd ("Lorro", "we", "us") to the customer ("you"). By placing an order or accepting a quotation, you agree to these terms.

1. Quotations and Orders

  1. Quotations are valid for 30 days from the date of issue unless otherwise stated.

  2. A contract is formed when the customer provides a written purchase order or written order confirmation accepting the quotation. Where payment of a deposit is required, work will not commence until the deposit has been received.

  3. Quotations are based on customer-supplied information including drawings, specifications, and quantities. Changes to these may result in revised pricing.

  4. We reserve the right to decline any order at our discretion.


2. Customer Responsibilities

  1. The customer is solely responsible for the accuracy and completeness of all drawings, specifications, and technical information supplied to Lorro.

  2. Lorro will manufacture to the revision of the drawing current at the time of order confirmation. Any subsequent drawing revisions must be communicated in writing and may result in revised pricing or lead times.

  3. Where the customer supplies material, it must be of suitable quality and specification. Lorro accepts no liability for defects arising from customer-supplied material.


3. Pricing and Payment

  1. Prices are quoted exclusive of VAT. VAT at the prevailing rate is shown separately on all quotations and invoices.

  2. Payment terms are as stated on the quotation. Where no terms are stated, payment is due within 30 days of invoice date.

  3. Lorro reserves the right to charge statutory interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.

  4. Title to goods passes to the customer only upon receipt of full payment. Risk passes to the customer upon delivery or collection.


4. Delivery

  1. Lead times stated in quotations are estimates only and do not form part of the contract unless expressly agreed in writing.

  2. Lorro will endeavour to meet agreed delivery dates but accepts no liability for delays caused by circumstances beyond our reasonable control.

  3. Unless otherwise agreed, delivery by courier is included. Risk passes to the customer upon handover to the courier.

  4. The customer must inspect goods on receipt and notify Lorro of any shortages or visible damage within 5 working days.


5. Quality and Inspection

  1. All components are inspected prior to despatch in accordance with Lorro's Quality Management System.

  2. Claims for non-conformance must be made in writing within 14 days of receipt of goods. Components must not be modified or incorporated into assemblies before a claim is agreed.

  3. Where a valid non-conformance claim is accepted, Lorro's liability is limited to, at our option, reworking or replacing the affected components, or issuing a credit note to the value of the affected parts.

  4. Lorro does not accept liability for consequential losses, loss of production, or third-party claims arising from component defects.


6. Cancellation

  1. Orders may not be cancelled without Lorro's written agreement.

  2. Where cancellation is agreed, the customer will be liable for all costs reasonably incurred by Lorro up to the point of cancellation, including materials purchased and work completed.


7. Intellectual Property

  1. All customer drawings, specifications, and technical information remain the intellectual property of the customer.

  2. Lorro will treat all customer information as confidential and will not disclose it to third parties without prior written consent.

  3. Lorro retains ownership of all tooling, fixtures, and programs developed for the manufacture of parts unless expressly agreed otherwise in writing.


8. Liability

  1. Lorro's total liability under any contract shall not exceed the value of the order to which the claim relates.

  2. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.


9. Governing Law

  1. These terms are governed by the laws of England and Wales.

  2. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


Lorro Precision Ltd -  These terms apply to all orders unless superseded by a separate written agreement signed by a Director of Lorro Precision Ltd.
